Consensys Sells $48M in SharpLink Shares After 94% Stock Decline

Consensys sells its entire SharpLink stake

Consensys, the software company controlled by Joe Lubin, has sold all 5.7 million SharpLink (SBET) common shares it held, according to a filing with the U.S. Securities and Exchange Commission (SEC), the regulator that oversees public company disclosures in the United States. The sale was worth $48 million, at $8.39 per share.

Lubin is also chairman of SharpLink. The price of $8.39 is 93% below SharpLink's May 2025 peak, and the stock fell another 11% as of the previous day's close.

SharpLink was formerly a gambling marketing company. It later became a company that holds ether (ETH) as a treasury asset, a strategy often called an ETH treasury stock.

Key numbers behind the sale

  • Consensys sold 5.7 million SBET shares for $48 million, at $8.39 each.
  • The sale price was 93% below SharpLink's May 2025 peak.
  • Shares closed at $7.46 the day before the report.
  • SharpLink stock is down 94% from its peak.

What the SEC filing says

According to the filing, Lubin and the holders linked to him told regulators the sale was "to liquidate their position." That wording describes the stated reason for the transaction and does not include any further explanation.

Despite selling the Consensys stake, Lubin still holds less than 5% of SharpLink. This includes about 5 million shares held directly, plus 3.5 million shares of warrant coverage through Consensys Software. A warrant is a right to buy shares at a set price in the future.

The rise and fall of an ETH treasury stock

On May 27, 2025, SharpLink announced its ETH treasury deal. Its shares jumped 412% to about $34 in one trading session. The stock reached an intraday high of $124.12 on Friday, May 30, 2025.

Two weeks after that peak, SharpLink shares fell from $33 to under $11 in a single after-hours session after the company filed a resale registration statement with the SEC. At the time, Lubin said the filing was procedural and that neither he nor Consensys had sold shares.

Consensys has now sold its position. Less than 17 months before the sale, Consensys had led a $425 million deal for SharpLink alongside investors including Pantera's Dan Morehead, Galaxy Digital's Mike Novogratz, Arrington Capital's Michael Arrington and GSR's Cristian Gil.

Losses and an MSCI watchlist warning

SharpLink lost $735 million in 2025, and the company has already posted quarterly losses in 2026. Management described the treasury as a signal that "a new Ethereum era is taking shape."

Index provider MSCI has added SharpLink to its removal watchlist after adopting rules to limit so-called non-operating companies from its indices by November 2026. Removal would cut off certain passive investment flows to SharpLink. Passive investment flows are money that follows an index automatically rather than being actively chosen by a manager.

Lubin said last year that ETH treasury stocks like SharpLink would become "Berkshire Hathaway-style" vehicles, referring to the well-known investment holding company.

What is confirmed and what remains unclear

Confirmed from the SEC filing: Consensys sold all 5.7 million of its SBET shares at $8.39 each for a total of $48 million, with the stated purpose of liquidating the position. Confirmed from market data cited in the report: the stock closed at $7.46, is down 94% from its peak, and fell another 11% as of the prior close.

Still unclear: the report does not say what Consensys or Lubin plans to do with the remaining holdings, and it does not provide a reason beyond the filing's "liquidate their position" wording. It also does not state when MSCI will decide on SharpLink's index status.

Why this matters for crypto investors

SharpLink is one of several publicly traded companies built around holding crypto on their balance sheets. Its steep decline, combined with its lead investor selling its stake and a possible index removal, shows how quickly investor appetite for these treasury-style stocks can change.
