Hyperliquid Strategies Increases Equity Facility to $2.5 Billion
Nasdaq-listed firm expands capital raising capacity
Hyperliquid Strategies has increased its equity facility from $1 billion to $2.5 billion. This move gives the company more capacity to raise money by selling its own shares through the investment bank Chardan Capital Markets.
The company, which is listed on the Nasdaq stock exchange, uses this funding to support its treasury strategy focused on the HYPE token. A treasury strategy involves a company holding specific assets, like crypto tokens, as part of its financial reserves.
Key numbers from the treasury expansion
- The new facility allows for a maximum of $2.5 billion in share sales.
- The company has already raised $647 million through this facility.
- Hyperliquid Strategies currently holds approximately 29.3 million HYPE tokens.
- Company shares rose 30.4% following recent market comments regarding the HYPE protocol.
Details from the SEC filing
According to a filing with the US Securities and Exchange Commission (SEC), the company amended an existing agreement from October 2025. The SEC is a government agency that regulates markets and protects investors. The updated agreement allows the firm to periodically direct Chardan to purchase newly issued shares.
These purchases are subject to specific conditions, including share price and trading volume. Chardan, acting as a broker-dealer, can then sell those shares to the public.
Market interest and independence claims
Interest in the company follows a recent 20% jump in the price of HYPE tokens. This price increase happened after US President Donald Trump stated that officials are working to bring the Hyperliquid decentralized trading platform into the US legally. A decentralized trading platform is a system that allows users to trade crypto without a central authority.
Despite the similar names and its large holdings of the token, Hyperliquid Strategies stated that it is independent. The company clarified that it is not affiliated with the Hyperliquid trading platform.
Potential impact on shareholders
The $2.5 billion figure represents the maximum amount the company could raise, not the amount it has already collected. While the increased facility provides more funding for the company’s crypto strategy, it could also lead to dilution. Dilution happens when a company issues new shares, which can reduce the ownership percentage and value for existing shareholders.
