Metaplanet wins approval for 93.7% stake in Super League via 2,100 BTC deal
Shareholders approve a deal that hands Metaplanet control
Shareholders of Super League, a gaming and digital media company listed on the Nasdaq stock exchange in the United States, have approved a deal that would give Japanese firm Metaplanet a 93.7% ownership stake. Metaplanet is a company that holds Bitcoin as its main treasury asset.
The approval came in a company announcement and a filing with the US Securities and Exchange Commission (SEC), the American financial regulator, published on Monday, October 19, 2026.
The deal would let Metaplanet raise money in US dollars through the stock market, adding to the yen-based financing it already uses in Japan.
What Metaplanet is paying
- Metaplanet will contribute 2,100 Bitcoin (BTC) and $2.5 million in cash.
- In return, it receives 44.86 million common shares, 100 shares of convertible perpetual preferred stock (a type of share that can be converted into common stock and has no fixed end date), which carry governance rights, and 10-year warrants for additional common stock.
- Shareholders approved the issuance of up to 435.9 million common shares under agreements involving Metaplanet and Evo Fund.
- Metaplanet's common shares will be locked up for five years, meaning they cannot be sold during that period.
Control and the planned rebrand
The transaction gives Metaplanet control of Super League, including the power to name a majority of the board and approve major corporate decisions.
Super League plans to rename itself Superplanet and trade under the Nasdaq ticker SUPA, with a stated focus on increasing its Bitcoin holdings per share.
Superplanet plans to fund future Bitcoin purchases mainly through senior, non-convertible perpetual preferred shares rather than conventional debt. Metaplanet will also have the option to invest up to $210 million in junior preferred stock to provide extra financial support.
Why Metaplanet wants a US listing
In an October 15 SEC filing, Super League said the US market for preferred securities issued by Bitcoin treasury companies has grown large enough to support new entrants. The financing structure would give the company another way to fund Bitcoin purchases without depending mainly on regular debt.
Metaplanet now holds 44,000 BTC, making it the second-largest publicly traded corporate Bitcoin holder after Strategy, according to industry data from bitcointreasuries.net.
What is still unclear
The source material does not say when the 93.7% stake will be finalized or when the rebrand and new ticker will take effect. It also does not state what Super League's existing shareholders receive under the approved share issuance.
Metaplanet widens its investment plans
The deal comes as Metaplanet adjusts its broader investment strategy. Earlier in October 2026, the company proposed setting aside up to 15% of its total assets for strategic investments to help finance Bitcoin purchases and dividend payments.
