Payments Firm OpenPayd Targets Nasdaq Listing by End of 2026

Payments Firm OpenPayd Targets Nasdaq Listing by End of 2026

OpenPayd eyes year-end public listing

OpenPayd, a London-based payments infrastructure company, plans to complete its listing on the Nasdaq stock exchange by the end of 2026. The move follows a proposed merger with Titan Acquisition Corp., which is currently in the final stages of review by the U.S. Securities and Exchange Commission (SEC).

The listing is intended to support the company's expansion into the United States and fund potential acquisitions. OpenPayd provides services that connect traditional finance with blockchain networks, including infrastructure for stablecoins. Stablecoins are digital assets designed to maintain a steady value, often pegged to the U.S. dollar.

Key figures and dates

  • The merger with Titan Acquisition Corp. is expected to close by year-end, pending regulatory and shareholder approval.
  • The company reported $73 million in revenue for the financial year ending April 30, 2026.
  • OpenPayd aims to launch its services for U.S. customers by April 2027.
  • The firm recently brought 43 state money transmitter licenses under its group.

CEO identifies market opportunity

CEO Iana Dimitrova told CoinDesk that the company serves as a global platform for modern money movement. She stated that there is currently no public market competitor offering the same combination of traditional "fiat" currency and stablecoin capabilities. Fiat refers to government-issued money like the dollar or euro.

Dimitrova noted that the U.S. has become a more attractive market as it develops rules for digital assets and stablecoins. Specifically, she mentioned that new frameworks are creating openings for companies that connect traditional banking with blockchain technology.

Revenue growth and partnerships

OpenPayd reported revenue of $73 million for the year ended April 30, 2026, which is an increase from $57 million the previous year. The company also reported $13 million in EBITDA (earnings before interest, taxes, depreciation, and amortization).

The firm provides infrastructure to several major crypto exchanges—platforms where users trade digital assets—including Kraken and OKX. OpenPayd has also integrated with the Circle Payments Network for cross-border payments and joined Fireblocks’ payments network.

What is confirmed and what remains uncertain

The company's revenue figures and its acquisition of 43 state money transmitter licenses are confirmed facts. It is also confirmed that the firm is currently undergoing an SEC review for its merger with Titan Acquisition Corp.

However, the year-end listing is a target and depends on several factors, including the registration statement becoming effective and receiving approval from Titan shareholders. While the company plans a U.S. launch for April 2027, the success and timing of this expansion remain to be seen.

Future plans and U.S. expansion

OpenPayd took a step toward its U.S. launch last month by bringing MSB USA Inc. and its state licenses into the group. These licenses are required to legally process payments in those states. The company intends to use the funds from the public listing to scale these operations and explore further deals to add more licenses and technology to its platform.
