Independent Contractor Agreement Generator

What this generator does

This page builds an independent contractor agreement from a form. It covers the parties, the services, payment, the term, termination, work-for-hire and intellectual property, confidentiality, insurance, indemnity, dispute resolution and signatures. The output is a plain-text contract that you can edit, copy or download. It runs in the browser. It is a drafting aid, not legal advice, and it does not determine whether a worker is legally an independent contractor.

Independent contractor status is a legal question

Calling someone an independent contractor in a document does not make it true. Courts and agencies look at control, scheduling, tools, economic dependence, tax treatment and other factors. The test varies by country and by purpose, such as tax, employment law or benefits. If the relationship looks like employment, an agreement label may not protect either party. Get local advice before using this template for a worker who may be misclassified.

Parties and services

Enter the client and contractor names and addresses, the services and the date. Describe the work clearly enough that both parties know what is included and what is not. A vague scope invites disputes about extra work, deadlines and acceptance. If the project has milestones, attach a statement of work. The form does not include a detailed deliverables table, so add one in the services field or an attachment if the project needs it.

Payment and the optional amount

The form asks for a payment amount and payment terms, with net 30 as the default. The amount field is optional in the current form, but a contract without compensation is weak. If you leave it blank, the generated wording may fall back to a vague statement rather than a specific fee. Fill in the amount, currency, schedule and any expenses. Say whether payment depends on milestones or acceptance, and what happens if the work is late.

Term, termination and completion

Set a start date and, if known, an end date. Add a termination clause that says how much notice either party must give and what happens to work already performed. A contract should address unfinished work, return of materials and final payment. The form provides a termination field, but it is only as good as the text you enter. Avoid a clause that lets one party terminate without paying for accepted work.

Work for hire and intellectual property

The work-for-hire option is on by default, and there is an IP terms field. Work-for-hire rules differ by jurisdiction and may not cover every type of work. If the client needs ownership of code, designs, writing or inventions, the agreement should say so clearly and address moral rights, pre-existing materials, third-party assets and licenses. If the contractor keeps ownership, state what license the client receives.

Confidentiality

The confidentiality option is on by default. Decide what counts as confidential, how long the obligation lasts, what is excluded and how materials must be returned or destroyed. A one-line clause may not fit a project that involves customer data, trade secrets or regulated information. If personal data is involved, add a data-processing or security addendum. Do not put sensitive information in a public template without reviewing the obligations.

Insurance and indemnity

The insurance menu defaults to none, with options for general liability, professional liability and both. Insurance requirements should match the risk and the project, not be copied blindly. The indemnity option is on by default. An indemnity clause can shift risk for third-party claims, but it may be unenforceable or inappropriate in some situations. Have a lawyer review the risk allocation if the project is large or the exposure is significant.

Dispute resolution and jurisdiction

The dispute menu defaults to court, with an arbitration option. Arbitration can be faster or more private, but it can also limit appeals and add costs. The jurisdiction field should name the place whose law and courts will apply, but the form does not analyze whether that choice is enforceable. Choose a jurisdiction with a real connection to the parties or the work, and check any mandatory local rules.

Signatures and output

The signature fields hold the names of the client and contractor. The generated agreement appears in an editable text area. Copy puts it on the clipboard, and the download button saves a text file. The page does not collect an electronic signature, witness a signing or store the contract. Print or sign the final version through a process that gives both parties a copy, and keep the executed agreement with the project records.

Legal limits and disclaimers

This is a template, not legal advice, and it does not create an attorney-client relationship. It does not know the law of your jurisdiction, the tax treatment of the contractor or the rules that apply to your industry. A contract can be void or partly unenforceable if it conflicts with mandatory law. Have a local lawyer review the agreement before signing, especially for high-value work, equity, IP or personal data.

Privacy and sensitive information

The agreement may contain names, addresses, fees and business terms. The form runs in the browser, but the downloaded file is not protected. Do not paste information you would not want on a shared device. Clear the form when you finish. Share the final contract only with the parties and advisers who need it, and use a secure channel for signatures and attachments.

Common problems

If the contract feels vague, add a statement of work, deliverables and acceptance criteria. If payment is missing, fill in the amount and schedule. If the IP clause does not fit, rewrite it. If the termination clause is one-sided, revise it. If the dispute clause names an unrelated jurisdiction, change it. If the contract is for a high-risk project, do not rely on the template without review.

What not to do

Do not use the agreement to misclassify an employee. Do not leave compensation blank. Do not assume work-for-hire covers every deliverable. Do not copy an indemnity or insurance clause without understanding it. Do not choose a jurisdiction you have no connection to. Do not sign without reading the final text. Do not treat a downloaded text file as a completed, enforceable contract.

Frequently Asked Questions

پرسش‌های متداول

پاسخ‌های کوتاه به پرسش‌هایی که کاربران پیش از اعتماد به نتیجه مطرح می‌کنند.

A signed agreement can be binding, but enforceability depends on the law, the wording and the circumstances. This is a template, not legal advice. Have a local lawyer review it before signing.

No. The label in the agreement does not control the legal test. Control, scheduling, tools, taxes and other factors matter. Misclassification can have serious consequences, so get local advice.

The form allows it to be blank, but the generated wording may then be vague. Fill in the amount, currency, schedule and expenses. A contract without clear compensation is weak.

Yes, but add a statement of work, deliverables, acceptance criteria and IP terms. Work-for-hire may not cover every asset or jurisdiction. Address pre-existing code, third-party libraries and licenses.

It asks the generator to include work-for-hire language. That language may not be sufficient in every jurisdiction. If ownership matters, have a lawyer review the IP clause and any separate assignment.

It depends on the risk, cost and privacy you want. Arbitration can limit appeals and may be required in some contracts. Court may be more familiar. Choose a forum with a real connection to the parties and get advice.

No. It only generates text. You still need to review, sign and exchange the final agreement, and keep a copy. The page does not provide an electronic signature service.
