Dogecoin Foundation and House of Doge End Exclusive Trademark Deal

Dogecoin Foundation and House of Doge End Exclusive Trademark Deal

Doge Group Names Officially Drop Brand Rights

The Dogecoin Foundation and House of Doge have ended their exclusive trademark licensing agreement. The change was finalized on October 19, according to House of Doge filings. The move requires House of Doge and its U.S. subsidiary to stop using specific brand terms, including the right to call themselves the foundation's official corporate arm.

Name Changes and Payment Terms

  • House of Doge must change its company name by December 31, 2026.
  • The U.S. subsidiary must pay the foundation $400,000 as a negotiated termination fee.
  • Payment can be made in cash or company shares when sufficient funds are available.

New Commercial Partner Arrives

House of Doge has identified a new entity, Dogecoin Labs, as the foundation's next commercial partner. Dogecoin Labs was announced on October 21 and is led by CEO Jordan Jefferson. The new group intends to manage assets like the MyDoge wallet and DogeOS software.

Pending Asset Swap Details

A plan to exchange specific software assets for equity is currently pending. House of Doge will give Such App software and related domains to Dogecoin Labs in return for stock valued at $4 million. The transaction was not closed as of the October 23 filing. It requires consent from lenders and the release of liens on assets.

What Is Confirmed

The termination of the exclusive license is confirmed. House of Doge retains limited rights to use the Dogecoin name for three specific investment products (an ETF, ETP, and a leveraged ETF) until October 19, 2029. An ETF is a fund that tracks the price of an asset like Bitcoin or Dogecoin. Any new investment products will require written approval from the foundation.

What Is Still Unclear

It is not yet confirmed when the $400,000 termination payment will be made. The specific date for closing the asset swap with Dogecoin Labs is also undetermined, as it depends on lender approvals. If the termination payment is not made, the company risks losing its limited license rights.

Why It Matters

This transition moves Dogecoin's commercial operations to a new organization while stripping specific naming rights from House of Doge. It clarifies which company holds the official license for Dogecoin-related products moving forward.

Next Steps

House of Doge must change its company name by December 31, 2026. The asset swap with Dogecoin Labs has a deadline of 30 days after October 19, 2026, to complete unless either side terminates the contract early.
