MoonPay Acquires North Capital in $60M All-Stock Deal to Expand Tokenized Securities Services

MoonPay acquires North Capital to expand into regulated US securities

MoonPay, a company known for crypto payments, has agreed to buy North Capital. The deal is an all-stock transaction worth more than $60 million. This move expands MoonPay's services into regulated US securities infrastructure, specifically for tokenized real-world assets (RWAs). MoonPay stated that the acquisition will allow it to offer services for the issuance, custody, and secondary trading of private securities. This includes tokenized securities, which are digital representations of traditional assets on a blockchain.

Key details of the transaction

  • MoonPay is acquiring North Capital in an all-stock deal valued at over $60 million.
  • North Capital operates a broker-dealer, an alternative trading system (ATS), a transfer agent, and an investment adviser.
  • All of North Capital's businesses are registered with the US Securities and Exchange Commission (SEC).
  • North Capital has supported over $8.7 billion in primary and secondary transaction volume.
  • MoonPay's CEO Ivan Soto-Wright said the deal helps connect parts of the financial system through modern infrastructure.
  • MoonPay is currently valued at $3.4 billion, according to data from Traxcn.

Regulatory status and closing conditions

Both companies' boards have approved the acquisition. However, the deal is not yet complete. It must still receive regulatory approvals and meet other standard closing conditions. Once closed, North Capital will become a wholly owned subsidiary of MoonPay.

MoonPay's expansion strategy

This purchase is part of a series of acquisitions by MoonPay this year as it moves beyond simple crypto payments. Earlier this year, MoonPay acquired:

  • Sodot, a key management company.
  • DFlow, a trading infrastructure platform for Solana.
  • Entendre, an AI finance operations platform.

These previous purchases were aimed at adding capabilities in institutional custody, onchain trading, and financial operations. MoonPay last raised external funding in October 2021, securing a $2.18 million seed round. Investors in that round included Karlani Capital and Fiduciary Trust International.

What happens next

The acquisition remains subject to regulatory approvals. MoonPay and North Capital will proceed once these approvals are granted and other customary conditions are met. Sources:
